    Welcome to Akorlis.

These Terms of Service govern your access to and use of the Akorlis website, application, dashboard, QR menu pages, ordering tools, table management features, staff notification features, AI-assisted menu import tools and related services available through https://akorlis.com and https://akorlis.com/gr.

In these Terms, Akorlis may be referred to as "Akorlis," "we," "us," "our," or the "Company."

By creating an account, accessing the dashboard, using a QR menu, or otherwise using the Service, you agree to these Terms.

    1. Definitions

    • Service means the Akorlis platform, website, application, dashboard, QR menus, ordering tools, table management, waiter-call features, AI-assisted import tools, analytics and related functionality.
    • Customer, Business, or you means the person or legal entity creating an Akorlis account to create and manage digital menus, QR menus, ordering workflows or related business tools.
    • End User means a restaurant guest, venue visitor, consumer or other person who scans a QR code, views a menu, calls staff, or places an order through a page powered by Akorlis.
    • Business Content means any menu item, price, description, allergen notice, ingredient information, image, logo, translation, store information, table information or other content uploaded, generated, edited or published by a Business.
    • Subscription means a paid plan selected by a Business for use of the Service.

    2. The Akorlis Service

Akorlis is a software-as-a-service platform for restaurants, cafes, bars, hotels, hospitality venues and similar businesses. It helps Businesses create QR menus, manage products, categories, prices, images, translations, tables, orders, staff notifications and related digital workflows.

Akorlis is not a restaurant, food provider, reseller, delivery provider, merchant of record for restaurant products, or seller of food or beverages. Akorlis provides technology tools only. Any sale, order, delivery, refund, receipt, product quality issue, allergen issue or customer service matter is strictly between the Business and the End User.

    3. Account Registration

To use the dashboard and business features of the Service, you must create an account. You agree to provide accurate, complete and up-to-date information.

    You are responsible for:

    • maintaining the confidentiality of your login credentials,
    • controlling access by your staff and authorized users,
    • all activity occurring under your account,
    • promptly notifying us of any unauthorized access or security incident.

We are not liable for loss or damage arising from your failure to secure account credentials or from unauthorized access caused by your actions or omissions.

    4. Business Responsibilities

You are solely responsible for your Business Content and for your use of the Service.

    • the accuracy of products, prices, descriptions and images,
    • taxes, service fees, offers and additional charges,
    • allergen, ingredient, nutrition and safety notices,
    • product availability,
    • accepting, rejecting and fulfilling orders,
    • issuing receipts, invoices or other required documents to your customers,
    • compliance with food safety, health, consumer protection, tax, advertising and commercial laws,
    • ensuring that your content does not infringe any third-party rights.

You may not use the Service for unlawful, misleading, abusive, fraudulent, harmful or infringing activity.

    5. Restaurant Orders, Products and End User Issues

Akorlis does not control, verify or guarantee:

    • the quality, safety or suitability of products,
    • the accuracy of prices or descriptions,
    • allergen or ingredient information,
    • product availability,
    • order fulfillment,
    • preparation or service times,
    • refunds, cancellations or chargebacks related to restaurant products,
    • issuance of receipts or tax documents by the Business.

Any complaint, refund request, product issue, incorrect order, delivery issue, pricing issue or dispute raised by an End User must be handled directly by the Business.

    6. AI-Assisted Import and Automated Features

The Service may include AI-assisted or automated tools for importing, generating, classifying or translating menu content. These tools are provided to assist you, but they are not a substitute for human review.

You acknowledge that AI-generated or automatically processed content may contain errors, omissions, incorrect prices, inaccurate translations, wrong categories, inaccurate descriptions or incorrect allergen and ingredient information.

You must carefully review, verify and approve all content before publishing it or using it commercially. Akorlis is not responsible for errors, claims, losses or damages arising from Business Content that you publish without adequate review.

    7. Subscriptions, Payments and Manual Renewals

Certain features of the Service require a paid Subscription. Available plans, pricing and included features are displayed on our website or within the dashboard.

Payments may be processed through Stripe, PayPal or bank transfer, depending on the options available at the time of payment.

Subscriptions do not renew automatically. Renewal is performed manually by the Business. If a Subscription is not renewed on time, we may limit, suspend or terminate access to paid features.

    8. Refund Policy

Amounts paid for active Subscriptions are non-refundable, unless otherwise required by applicable law or unless there is a proven technical issue that makes use of the Service impossible.

Non-use of the Service, change of mind, closure of your business, seasonal inactivity, or failure to use all features included in your plan does not create a right to a refund.

    9. Trials and Free Features

If we offer a free trial or free plan, it may be subject to limitations, including limits on time, features, items, languages, stores, tables, orders or other usage parameters.

We may modify, limit or discontinue free trials or free features at any time.

    10. Business Content and License to Operate the Service

You retain ownership of your Business Content.

By uploading, creating or publishing Business Content through Akorlis, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, display, format, resize, translate, transmit and otherwise use that Business Content solely as necessary to operate, provide, secure and improve the Service.

You represent that you have all rights necessary to upload and use your Business Content, including rights in logos, images, product descriptions, trademarks and other materials.

    11. Prohibited Uses

    You may not:

    • use the Service for unlawful activity,
    • attempt to gain unauthorized access to systems, accounts or data,
    • copy, reverse engineer, decompile or disassemble the Service,

    • overload or abuse the Service,
    • mislead End Users about prices, products, fees, offers or availability,
    • use the Service in a way that infringes third-party rights.

    12. Service Availability

We use reasonable efforts to keep the Service available, secure and functional. However, we do not guarantee that the Service will be uninterrupted, error-free or available at all times.

The Service may be affected by maintenance, updates, technical issues, hosting providers, payment providers, Cloudflare, internet networks, cyberattacks, force majeure events or circumstances outside our reasonable control.

Akorlis is not liable for lost revenue, lost orders, lost customers, business interruption or indirect losses caused by temporary unavailability or degraded performance of the Service.

    13. Third-Party Services

The Service may integrate with or rely on third-party providers, including payment processors, analytics providers, advertising platforms, hosting providers, Cloudflare, Google, Meta, Stripe, PayPal and other infrastructure or software providers.

Third-party services are governed by their own terms and privacy policies. We are not responsible for the acts, omissions, outages, security incidents, policies or practices of third-party providers.

    14. Intellectual Property

Akorlis and its licensors retain all rights, title and interest in the Service, including software, source code, design, layout, features, workflows, databases, trademarks, logos, documentation and all related intellectual property.

Your use of the Service gives you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. No ownership rights are transferred to you.

    15. Suspension or Termination

We may suspend or terminate your account or access to the Service if:

    • you violate these Terms,
    • fees remain unpaid,
    • your use creates security, legal or operational risk,
    • we detect fraudulent, abusive or unlawful activity,
    • we are required to do so by law, court order or government authority.

For serious violations, we may suspend or terminate access immediately and without prior notice.

    16. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy and reliability.

We do not warrant that the Service will meet your specific business expectations, increase revenue, reduce staff errors, improve order volume, or be uninterrupted or error-free.

    17. Limitation of Liability

To the maximum extent permitted by law, Akorlis will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of revenue, loss of data, loss of customers, lost orders, business interruption or reputational harm.

To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount paid by you to Akorlis for the applicable Subscription during the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In those cases, the limitation will apply to the fullest extent permitted by applicable law.

    18. Indemnification

You agree to defend, indemnify and hold harmless Akorlis, its officers, employees, contractors and partners from any claims, damages, fines, penalties, losses, costs and expenses arising from:

    • your Business Content,
    • your use of the Service,
    • your violation of these Terms,
    • your violation of applicable law,
    • inaccurate prices, descriptions, allergens, ingredients or product information,
    • orders, products or services provided by your Business to End Users,
    • infringement of third-party rights.

    19. Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms.

When you collect personal data from End Users through Akorlis, you may act as the controller or business responsible for that data, while Akorlis may act as a processor/service provider or as an independent controller/business depending on the processing activity.

You are responsible for providing legally required privacy notices to your own customers where applicable.

    20. Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on our website. For material changes, we may provide additional notice by email, dashboard notice or another reasonable method.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

    21. Governing Law and Venue
